These Terms of Use govern your access to and use of the website at www.barosic.com (the “Site”), operated by Barosic Inc. (“Barosic”, “we”, “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

01Who we are

Barosic Inc. is the parent company of the Innovati group of companies. Each Innovati company is a separate legal entity; see Section 12 and our Legal Notice.

02Informational purpose

The Site is provided for general informational purposes about Barosic Inc. and the Innovati Ecosystem. It does not offer accounts, purchases, transactions or any interactive service.

03Eligibility

The Site is intended for visitors who are at least 18 years old and able to form a binding agreement under applicable law. If you are under 18, please do not use the Site.

04License and acceptable use

Subject to these Terms, Barosic grants you a limited, non-exclusive, non-transferable, revocable license to view the Site for your personal or internal business information. You agree not to:

  • copy, reproduce, modify, distribute, publicly display or create derivative works from the Site or its content, except as permitted by law or by our written consent;
  • use automated means (bots, scrapers, crawlers) to extract content or data, other than ordinary search-engine indexing that respects our robots.txt;
  • attempt to gain unauthorized access to the Site, its hosting, or related systems, or interfere with their security or performance;
  • frame or mirror the Site, or imply any affiliation with, sponsorship by or endorsement from Barosic or any Innovati company without our written permission;
  • use the Site for any unlawful, deceptive or harmful purpose.

The Site and all of its content, including text, design, layout, graphics, images, logos, software code and the selection and arrangement of those elements, are owned by or licensed to Barosic Inc. and are protected by copyright, trademark and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

06Trademarks

BAROSIC, INNOVATI, the Barosic “B” logo, the Innovati company names and logos, and associated taglines are trademarks or trade names of Barosic Inc. and/or its affiliated companies, used with the ™ designation and protected under applicable common-law rights. Nothing in these Terms grants you any right to use them without our prior written permission. Other names mentioned on the Site belong to their respective owners.

07No offer, advice or relationship

Content on the Site is not an offer to sell or a solicitation to buy any security, investment product, loan or service, and is not legal, tax, accounting, financial, investment, employment, real estate or construction advice. Descriptions of Innovati companies that are marked “coming soon” describe intended areas of activity only; they do not represent that such companies are operating, licensed or able to provide services. Your use of the Site does not create a client, fiduciary, employment, agency, partnership or other relationship with Barosic or any Innovati company.

08Third-party links

The Site may link to websites operated by affiliated or unaffiliated third parties, including the website of Innovati Systems. Those sites are governed by their own terms and policies. We do not control and are not responsible for their content or practices.

09Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE FULLEST EXTENT PERMITTED BY LAW.

10Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BAROSIC INC., ITS AFFILIATES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT APPLY TO YOU IN FULL.

11Indemnification

You agree to defend, indemnify and hold harmless Barosic Inc., its affiliates and their directors, officers, members, managers, employees and agents from claims, liabilities, damages and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or applicable law, or your misuse of the Site.

12Separate legal entities

Barosic Inc. and each Innovati company, including Innovati Systems LLC and any other subsidiary as it is formed, are separate legal entities with their own assets, liabilities, contracts and records. Barosic Inc. is not liable for the obligations of any subsidiary, and no subsidiary is liable for the obligations of Barosic Inc. or of any other subsidiary, solely by reason of common ownership, shared branding or use of this Site. Only the entity that signs a written agreement with you is a party to it.

13Governing law and venue

These Terms and any dispute arising from or related to the Site are governed by the laws of the jurisdiction in which Barosic Inc. is incorporated, without regard to conflict-of-law rules. You agree that the competent courts of that jurisdiction have exclusive jurisdiction and venue, and you consent to their personal jurisdiction. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.

14General

Changes. We may update the Site and these Terms at any time; the “Last updated” date above shows the current version, and continued use means you accept the changes. Severability. If a provision is found unenforceable, the rest remains in effect. No waiver. Our failure to enforce a right is not a waiver of it. Entire agreement. These Terms, together with our Privacy Policy and Legal Notice, are the entire agreement between you and Barosic regarding the Site. Language. These Terms are provided in English and Spanish; if there is any inconsistency, the English version prevails.
